This website is made available for personal, non-commercial use.  
NZIC endeavours to ensure that the information provided on the Website is free from error and shall not be responsible or liable for any error or omission in the information provided. We reserve the right to make changes to the information provided on the Website at any time and without notice. 
The Website may contain links to third-party websites. We are not responsible and will not be liable for the content of any third-party websites. You may not reproduce, adapt, copy or distribute, in whole or in part, any information, content or material from this Website without our prior written consent. We take all due care to ensure that our website is free of any virus, worm and/or malware, however we are not responsible for any damage to your computer system which may arise in connection with your use of our website or any linked website.

ONLINE COMMUNITY
The online community is provided as a means of connecting Users, exchanging knowledge and providing information and resources. 
The online community allows Users to create and publish content publicly (“User Generated Content”). 
User Generated Content must not be unlawful, offensive, defamatory, malicious, or otherwise inconsistent with the above intention.  However, NZIC is not be responsible for the accuracy of User Generated Content, nor are we responsible for offensive, defamatory or malicious content.  Concerns about User Generated Content can be directed to for review and possible removal. NZIC reserves the right to refuse any User Generated Content, or edit or delete User Generated Content from the Website for any reason, at any time. 
By contributing User Generated Content to the Website or creating it on the Website, you automatically grant to us permission to use, copy, distribute, publish, republish, excerpt (in whole or in part), reformat, translate, modify, review and incorporate into other works.
Users who deliberately or wilfully disregarding these Terms may be removed and/or banned from the Website, and other NZIC services at NZIC’s sole discretion. 

LIABILITY

It is your sole responsibility to evaluate the accuracy, completeness and usefulness of any advice, opinions or information contained on the NZIC website.  NZIC accepts no liability for such material and Users rely upon it at their own risk.
To the maximum extent permitted by law, you agree to release and forever discharge NZIC (its officers, employees and contractors) against all actions, claims, losses, suits, demands, claims for costs or expenses, or any other proceedings whatsoever, arising from, or connected with a breach of any of these Terms, your use of this Website or your participation in the online community.
To the maximum extent permitted by law, you hereby indemnify NZIC (its officers, employees and contractors) against all actions, claims, losses, suits, demands, claims for costs or expenses, or any other proceedings whatsoever, arising from, or connected to a breach of any of these Terms, your use of this Website or your participation in the online community.
Notwithstanding any other clause, the maximum aggregate liability of NZIC (howsoever arising) in relation to, or connected with, the use of this website or participation in the online community shall, to the maximum extent permissible by law, be limited to an amount equal to $10,000.

CrowdCoaches
CrowdCoach provides Users with an opportunity to connect with individuals in the business ecosystem that they may not otherwise meet. The general purpose is to connect Users and allow them to exchange knowledge.  It is not a substitute for personal research, due diligence or exploration. It is a free service, so advice or recommendations given by coaches should be accepted with that in mind.
It is your decision whether to engage with a CrowdCoach - any such engagement is at your sole risk.  Neither NZIC, nor any individual CrowdCoach accept any liability to Users for the information they receive.  It is your responsibility to evaluate the accuracy, completeness and usefulness of any advice, opinions or information provided by your CrowdCoach.  You agree you will seek your own professional advice in relation to the subject matter.  
To the maximum extent permitted by law, you agree to release and forever discharge any CrowdCoach against all actions, claims, losses, suits, demands, claims for costs or expenses, or any other proceedings whatsoever, arising from, or connected with the information provided to you by that CrowdCoach through this website.

INTELLECTUAL PROPERTY
Users agree that the Website is an open forum, and understand any risks associated with choosing to upload and contribute User Generated Content that depicts commercially sensitive details relating to their own intellectual property, ideas or business, or those belonging to others.
You agree that NZIC owns all of the intellectual property rights existing in all concepts, systems, written, graphic and other material produced by NZIC and published to the Website. Your access to the website does not license you to use any content, marks or other intellectual property of NZIC in any way without our prior written consent.
You own all intellectual property related to your User Generated Content contributed to the Website. You must not upload or contribute any Content not originally created by you, or any Content which is not properly licensed to you by someone else for uploading and contributing.  
You agree to indemnity NZIC indemnify NZIC (its officers, employees and contractors) against all actions, claims, losses, suits, demands, claims for costs or expenses, or any other proceedings whatsoever, arising from, or connected with any allegation that you have infringed the intellectual property rights of any party.

PRIVACY
Users agree to comply with NZIC’s Privacy Policy where applicable.

CHANGES TO THE TERMS AND CONDITIONS
We reserve the right to make changes to these Terms from time to time. The date at the bottom of this page reflects the date of the last Terms revision. Your continued use of the Website indicates your acceptance of any updates.

GENERAL
The website may be temporarily unavailable from time to time for maintenance or other reasons. 
The failure of NZIC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in any instance. 
If any part of these Terms is deemed invalid, void or for any reason unenforceable, that part shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining clauses. 
These Terms and your use of the Website are governed by New Zealand law.
